Should be fine, I have 2 X 120, 2 X 80 on a 250W psu, with a neon.. I think it might be struggling abit thoug, but 300W should be more than enough.

Not necessarily. A few motherboards draw the power for the CPU from the 5v/12v lines.

Do you know if its TOP quality ? middle of the range, or plain cheapo...mine came with a $95 full tower case...it cant be that bad but i aint takin my chances..
