You might wanna reconsider the vid card. I'm not too sure about the exact specs of that card but seeing as though its a 6800 Im guessing it doesnt have passive cooling. I think one of the primary aims of any HTPC should be to make it as quiet as possible.
I got an nVidia FX5200 for $55 with VGA/composite/DVI out with passive cooling, does the job very nicely. The CPU/mobo/memory isnt that important but you will want something that is at least 2.4Ghz P4 / XP 2500+ Athlon to make sure u have enough grunt to decode anything you want (especially HDTV). Just get (semi) generic RAM as there is no real need for expensive stuff in my opinion. Try and get a SATA mobo to increase your HDD capacity potential, you can never have too much a HTPC. Also try and get a mobo with a passively cooled northbridge, once again to cut out as much unnecessary noise as possible.

theres a foxconn mATX motherboard you can by (forget its name, something NF4K8MC i think), so that way you can buy yourself a socket 939 AMD CPU, but then you will have to buy a PCI-E GFX card, maybe somthing like a 6600gt for ~300. I f you want go full atx, you can go for the silverstone LC03 or LC03V with the VFD display, but they are 170 and 250 respectivly (no PSU). They take full atx mobos and full size PSU's. Any memory should be fine, Some Geil VAlue for 135 should be enough (2x512)
