Default DDR3 ram and S775 CPU/Mobo

G'day. I have always been a person who normally upgrades pretty slow with technology and uses my gear until I find limitations with it and/or gets too slow for my liking.

I currently have an E4500 @ 2.8ghz, Asus P5K, 4GB DDR2 Ram (4x1Gb - Mismatched, 2xPC5300 & 2xPC6400) It's running well for what I use it for but I recently got hold of my friends 'old' gear and picked up an E8400 and 2x2GB DDR3 PC10600 ram.

Should I off load the 4x1gb sticks of mismatched ram and pick up something like 2x2gb DDR2 PC8400 or should I get a new motherboard that supports DDR3 and use the 4gb of DDR3 ram?

Which would yield the best performance with the possibilities I have? I'm not looking to spend any money on a new SB mobo/CPU setup at the moment.
